Art Terms of Service 
Artdoc Gallery

Welcome to Artdoc Gallery. These terms govern the relationship between Artdoc Gallery and the artists who collaborate with us. By submitting your artwork to Artdoc Gallery and allowing us to sell your work through our gallery, you agree to the following terms:  


1. Commission and Payment Terms  


1.1. Artist's Share  

Artists will receive 60% of the remaining profit after deducting production costs (including printing and framing), VAT (if applicable), and shipping expenses.  


1.2. Profit Calculation  

Profit is calculated as follows:  

   - Sale Price  

   - Minus: Print costs as charged by The PrintSpace  

   - Minus: Shipping costs (domestic or international)  

   - Minus: VAT (if applicable)  

   - Minus: Gallery commission (40%)  


1.3. VAT Policy  

1. VAT is included in the sale price of all artworks where applicable.  

2. VAT will be deducted from the sale price before calculating the remaining profit and the artist’s share.  

3. Artists are responsible for any tax liabilities in their country of residence.  


1.4. Payment Schedule  

Payments will be processed within 30 days of the sale and will be made to the payment details provided by the artist.  


2. Submission and Approval  


2.1. Artwork Submission

Artists must submit high-quality digital files of their artwork for sale via Artdoc Gallery's designated submission process. These files must be delivered in the highest resolution possible to allow Artdoc Gallery to print the artwork at the largest possible size and at the gallery’s expense.


2.2. Approval Process

Artdoc Gallery reserves the right to approve or reject submitted artwork at its sole discretion. Approval depends on artistic quality, market demand, and adherence to the gallery’s standards. Artdoc Gallery will also decide the size, paper, and other materials for printing the artwork. The artist will have the opportunity to approve these choices prior to production.


2.3. Limited Editions

Artdoc Gallery has the right to produce limited edition prints of the submitted artwork during the term of this Agreement. The gallery will determine the number of prints in the limited edition inventory. Once the inventory list is finalized and published on the gallery’s website, the artist must approve it. This inventory list will define the total number of artworks covered under this Agreement.


2.4. Certificates of Authenticity

Artdoc Gallery will provide a certificate of authenticity with every sold artwork. The artist agrees to supply the gallery with a digital SVG file of their signature for this purpose. The artist gives Artdoc Gallery permission to include their signature on certificates of authenticity for all printed artworks.


2.5. Rights Granted

By submitting artwork, the artist grants Artdoc Gallery the right to represent, sell, market, and distribute the submitted artwork through the gallery. The gallery has non-exclusive rights to sell printed versions of the artwork.


2.6. Pricing

The selling price of all artworks will be determined by Artdoc Gallery.


3. Production and Fulfilment  


3.1. Printing and Framing  

Production of prints is handled by The PrintSpace. The artist is responsible for ensuring their submitted files meet the required specifications.  


3.2. Shipping  

Artdoc Gallery manages shipping and logistics through The PrintSpace. Any shipping issues will be addressed by Artdoc Gallery in collaboration with the artist.  


3.3. Production Costs  

The production costs (including printing and framing) are deducted from the sale price before calculating the artist's commission.  


3.4. Damaged or Defective Orders  

1. In the rare event that an order is delivered to the customer damaged or defective, Artdoc Gallery’s printing partner will immediately send a replacement print to the customer, and the damaged print will be destroyed.

2. Artdoc Gallery will coordinate with the printing partner upon notification from the customer to ensure the issue is resolved.  

3. The artist is not responsible for any damaged or defective delivered artwork.

4. Limitation of Responsibility: Artdoc Gallery is not responsible for any damage or loss incurred during the production or shipping process. However, we will work with our printing partner to resolve such issues promptly.  


4. Copyright and Usage Rights  


4.1. Copyright Ownership  

Artists retain full copyright ownership of their artwork.  


4.2. Usage Rights  

By submitting your work, you grant Artdoc Gallery the right to use images of your artwork for promotional purposes, including website listings, social media, and advertisements.

 

4.3. Prohibited Content  

Artwork that infringes on intellectual property, contains offensive material, or violates applicable laws will not be accepted.  

 

4.4. Originality of Artwork
The artist warrants that all artwork submitted to Artdoc Gallery is their original creation and does not infringe upon the copyrights, trademarks, or intellectual property rights of any third party. The artist confirms that they hold full rights to the artwork and indemnifies Artdoc Gallery against any claims arising from breaches of this warranty.

 

5. Termination  


5.1. Artist Termination  

Artists may request the removal of their artwork from Artdoc Gallery at any time with a written notice of 30 days.  


5.2. Gallery Termination  

Artdoc Gallery reserves the right to terminate this agreement at any time and for any reason, with a written notice to the artist.  


5.3. Outstanding Payments  

Upon termination, any outstanding payments for sold artwork will be processed according to the terms outlined in Section 1.  

 

6. Payment Details  


6.1. Payment Information  

Artists must provide accurate payment details (e.g., IBAN, PayPal) when submitting their artwork. Payments are made in EUR unless otherwise agreed.


6.2. Payment Disputes  

If there is a discrepancy in payment, the artist must notify Artdoc Gallery within 14 days of receiving the payment.  


7. General Terms and Liability


7.1. Entire Agreement
This Agreement contains the entire understanding between the parties. There are no representations, warranties, promises, covenants, or understandings other than those explicitly set forth herein.


7.2. Waiver Clause
A waiver of any term or provision of this Agreement, or a forbearance to enforce any term or provision, shall not constitute a waiver of any subsequent breach or failure of the same term or provision, nor shall it constitute a waiver of any other term or provision of this Agreement.


7.3. Amendments
Artdoc Gallery reserves the right to update these terms at any time. Any updates will be published on the gallery’s website, and it is the artist’s responsibility to review the terms periodically. Continued use of the gallery’s services constitutes acceptance of the updated terms.


7.4. Governing Law
This Agreement is governed by and construed in accordance with the laws of The Netherlands. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of The Netherlands.


7.5. Limitation of Responsibility
Artdoc Gallery is not directly responsible for any damage or loss incurred during the production or shipping process. However, Artdoc Gallery will work with its printing partner to resolve any issues promptly, as outlined in Section 3.4.


7.6. Force Majeure
Artdoc Gallery shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, labour strikes, or technical failures.
